Terms of Use of the MEDupp Platform

Introduction

Thank you for using the MEDupp platform and the products, services, and features that we make available to you as part of this platform (collectively referred to in this document as the “Service”).

Our Service

The Service provides the opportunity to discover, watch, and share videos for medical continuing education; it is a forum and distribution platform for healthcare professionals to inform themselves and inspire one another.

The company providing the Service in the European Economic Area and Switzerland is 4Finance AG, a company incorporated and operating under Swiss law, with its registered office at Hammerstrasse 78; 8032 Zurich; Switzerland (referred to as “MEDupp”, “we”, “us”, or “our”).

Applicable Terms of Use

Your use of the Service is subject to these Terms of Use, the statutory provisions of the Therapeutic Products Act (TPA), the Ordinance on Integrity and Transparency in the Therapeutic Products Sector (OITTP), the provisions of anti-corruption legislation, and the Code of Conduct of the Pharmaceutical Industry in Switzerland (Pharma Code). You are legally responsible for the content that you transmit through the Service. If you upload content to MEDupp, you may not post through the Service any content that violates the above-mentioned requirements.

Please read this agreement carefully and familiarize yourself with its provisions. Use of the Service requires that you agree to this agreement.

Who may use the MEDupp platform (“Service”)?

The platform is primarily intended for healthcare professionals (HCPs) and healthcare organizations (HCOs), who may use the MEDupp platform free of charge. Users of the MEDupp platform must identify themselves upon registration on the platform as healthcare professionals or as MEDupp partners. Persons who cannot identify themselves as healthcare professionals are not entitled to register or to use the content of the platform.

MEDupp makes the website available to the user on the condition that the user unconditionally accepts these Terms of Use, the data protection provisions, and the use of cookies. Consent is given by accessing, registering for, and using the website.

Content in the Service

The content in the Service includes audiovisual medical content intended for medical continuing education (collectively, “Content”). Users may post and make Content available as part of the Service. With regard to such Content, MEDupp is a provider of hosting services. The Content is the responsibility of the individual or legal entity that posts and makes it available as part of the Service. If you see Content that you believe does not comply with this agreement, you may report it to us.

MEDupp undertakes to inform the customer without delay of any adverse events identified during the performance of the MEDupp services used and the agreed hosting sponsorships. Notwithstanding the foregoing, the parties agree and acknowledge that MEDupp, as a pure hosting service provider without editorial control over uploaded Content: (i) is not engaged for the purpose of identifying and reporting such adverse events to BICH; (ii) is not active in the business sector in which such services are to be provided; (iii) has no independent obligation under applicable law to report such information; and (iv) this shall not be deemed a breach of this agreement or otherwise give rise to liability for damages if MEDupp, acting in good faith, fails to identify and report such information. Under no circumstances shall MEDupp be obligated, nor shall it be expected, to search for or report adverse events on the basis of MEDupp’s existing databases.

Rights granted by you

You retain your rights as author and all existing intellectual property rights in your Content. In short: what belongs to you remains yours. If you believe that your copyrights have been infringed in connection with the Service, please contact us.

However, it is necessary for you to grant MEDupp certain rights as described below.

License to MEDupp

By posting Content to the Service, you grant MEDupp a worldwide, non-exclusive, royalty-free right to use such Content (including hosting, making it publicly available, reproducing, distributing, modifying, displaying, and performing it, in each case subject to moral rights), solely for the purpose of providing and improving the Service and only to the extent necessary for that purpose.

Term of the license

The term of the licenses granted by you continues until the Content is removed. Once the Content is removed, the term of the licenses ends.

Right to monetize

You grant MEDupp the right to monetize your Content on the Service. Such monetization may include displaying advertisements or entering into hosting sponsorship agreements.

Removal of your Content

You may remove your Content at any time. If you no longer have the rights required under these Terms of Use, you must remove your Content.

Removal of Content by MEDupp

If we have reasonable grounds to believe that your Content (1) violates this agreement or could harm our users or third parties, we reserve the right to remove or disable such Content, in whole or in part. We will inform you of the relevant reason unless we reasonably believe that doing so would (a) violate the law or an order of a law enforcement authority or expose MEDupp to liability; (b) jeopardize an investigation or the integrity or operation of the Service; or (c) harm other users, third parties, MEDupp, or our affiliated companies. If you file a complaint, we will consider your reasons for the complaint and review our decision again.

Warnings for a violation of the Terms of Use

Each warning results in different restrictions, up to and including the permanent removal of the relevant content on MEDupp. If you believe that a warning has been issued in error, you may appeal it.

Suspension and termination of accounts

Termination by you

You may stop using the Service at any time.

Termination and suspension by MEDupp

MEDupp reserves the right to suspend or terminate your access to all or part of the Service if (a) you materially or repeatedly breach this agreement, (b) we are required to do so in order to comply with legal requirements or a court order, or (c) we have reasonable grounds to believe that conduct exists which harms users, third parties, or MEDupp or gives rise to liability for them.

Notice of termination or suspension

We will inform you of the reason for termination or suspension by MEDupp unless we reasonably believe that doing so would (a) violate laws or orders of a law enforcement authority; (b) jeopardize an investigation; (c) impair the integrity, operation, or security of the Service; or (d) harm other users, third parties, or MEDupp.

Assurance

We operate the Service with reasonable care and skill.

Disclaimer

The law grants consumers certain rights that cannot be contractually excluded or modified. Nothing in this agreement affects the rights to which you are entitled as a consumer. The Service is intended exclusively to provide information in the context of medical continuing education. Apart from the conditions expressly set out in this agreement or required by law, MEDupp makes no specific representations regarding the Service. MEDupp assumes no warranty and no liability (whether express, implied, or tacit) in connection with the use of the Service. MEDupp merely provides the platform for storing and making available Content uploaded by users. Sole responsibility for Content published as part of the Service lies with the natural or legal person who posts and makes such Content available. Neither MEDupp nor any third parties involved in the creation, production, or transmission of the Service shall be liable for damages or injuries resulting from access or inability to access, use or inability to use the Service, or from the fact that you relied on information contained on this website.

The Service contains references (links) to the websites of other providers. These links are provided solely for user convenience and do not constitute approval of the content of another website. As a rule, MEDupp cannot assume any responsibility for the website of another provider. The activation of a link is therefore at the user’s own risk.

Limitation of liability

For all users: Nothing in this agreement excludes or limits either party’s liability for the following: death or personal injury; fraud; fraudulent misrepresentation; or any liability that cannot be excluded or limited under applicable law.

To the extent permitted by applicable law, MEDupp is not responsible for the following:

  • losses not caused by a breach of this agreement by MEDupp
  • any losses or damages that, at the time the agreement between you and MEDupp was entered into, were not a reasonably foreseeable consequence of a breach of this agreement by MEDupp
  • Content transmitted by users or abusive, offensive, or unlawful acts by users

If you use the Service for professional purposes (as a “business user”), the following limitations of liability also apply to the extent permitted by applicable law: MEDupp assumes no responsibility for lost profits, lost revenue, or loss of data, loss of business opportunities or anticipated savings, indirect damages or consequential damages, or damages (in all cases regardless of whether such losses were foreseeable or not).

Changes to this agreement

MEDupp reserves the right to amend this platform and the general Terms of Use, in whole or in part, at its own discretion.

This may occur for the following reasons: (1) to reflect changes to our Service or our business operations—for example, if we add new products or features or remove old products or features; (2) for legal, regulatory, or security reasons; (3) to prevent abuse or harm.

If we make material changes to this agreement, we will inform you in advance within a reasonable period and provide you with the opportunity to review the changes. If you do not agree with the new Terms of Use, you should remove your uploaded Content and stop using the Service.

Severability clause

If any of the Terms of Use in this agreement is unenforceable, the remaining Terms of Use shall remain unaffected.

Privacy Policy

This policy describes the processing of personal data by MEDupp ltd. in relation to users in Switzerland and contractual partners in Switzerland. In addition, the GDPR may apply where processing falls within its territorial scope (e.g. offers directed to persons in the EEA).

1) Controller and contact

For data protection matters in Switzerland, you may contact us using the contact details provided in the legal notice.

2) Definitions (Swiss law)

  • Personal data: all information relating to an identified or identifiable natural person.
  • Processing: any handling of personal data (e.g. collection, storage, use, disclosure, deletion).
  • Sensitive personal data: e.g. health data.
  • Profiling: any automated processing used to evaluate personal aspects; high-risk profiling: profiling that entails a high risk to personality or fundamental rights.

3) Purposes and categories of data

We process personal data in particular for the following purposes:

  • service provision and contract performance (account, support, billing)
  • communication and newsletters (with consent / opt-in; unsubscribe at any time)
  • security, abuse prevention, and stability purposes (logs, fraud prevention)
  • product development, statistics, and audience measurement (aggregated / reduced form)
  • direct marketing (our own similar offers; objection possible at any time)

Categories of data: master data, communication and contract data, payment data, usage / technical data (e.g. IP address, timestamp, user-agent), content data (support tickets), and only where necessary sensitive personal data (e.g. in the health context) — in that case with enhanced protective measures.

4) Legal bases / justification grounds (FADP)

We base processing on: performance of a contract / pre-contractual steps, consent, overriding private interests (e.g. IT security, fraud prevention, internal administration, direct marketing), and legal obligations.

5) Duty to inform

When collecting personal data, we provide appropriate information about the purpose, the controller, recipients, retention period / criteria, rights, and — where applicable — disclosures abroad.

6) Cookies, tracking and analytics

  • We use technically necessary cookies to provide the website (e.g. login, shopping cart, load balancing, language).
  • Non-essential / tracking cookies (analytics, marketing) are used only with consent (opt-in); you may withdraw your choice at any time in the cookie settings.
  • For Google Analytics (Google Ireland Ltd.), we use IP anonymisation; data may be transferred to the United States. For transfers to certified U.S. companies, Switzerland relies on the Swiss-US Data Privacy Framework; otherwise, we use appropriate safeguards (e.g. standard contractual clauses).
  • Disable / withdraw consent: via the cookie banner / settings or browser settings.

7) Disclosure of data abroad

We process data primarily in Switzerland / EU / EEA. From the Swiss perspective, Cyprus (EU) is considered a country with an adequate level of data protection; transfers there do not require additional safeguards. For recipients in non-listed countries, we implement appropriate safeguards (standard contractual clauses including risk / transfer impact assessment) or rely on statutory exceptions. The list of adequate countries is set out in Annex 1 to the DPO and is continuously updated by the Federal Council.

8) Retention and deletion

We store personal data only as long as necessary for the purposes pursued and for legal obligations (in particular retention periods under the Swiss Code of Obligations / tax law). Thereafter, we delete or anonymise the data.

9) Data security

We implement appropriate technical and organisational measures to ensure confidentiality, integrity, availability, and traceability, on a risk-based basis in accordance with the DPO.

10) Rights of data subjects (Switzerland)

You have in particular the following rights:

  • access (including the information necessary to exercise your rights)
  • data delivery / data portability (Art. 28 FADP; insofar as processing is automated and based on consent or contract)
  • rectification / deletion, restriction / objection
  • objection to direct marketing (at any time)
  • rights in relation to automated individual decisions: if a decision is made exclusively by automated means and has significant effects, we will inform you; you may request a review by a natural person

11) Profiling

We do not carry out high-risk profiling without explicit information and additional protective measures (e.g. data protection impact assessment). Any simple profiling (e.g. segmentation for our own newsletters) is carried out only with appropriate transparency and opt-out / opt-in depending on the risk.

12) Third-party providers / recipients

Service providers (e.g. hosting / CDN, support tools, newsletter delivery, analytics, payment service providers) process data as processors or joint controllers in accordance with contractual requirements (technical and organisational measures, sub-processing control, international transfers in accordance with section 7).

13) Notification of data breaches

In the event of a data security breach likely to result in a high risk to personality or fundamental rights, we will report the incident to the FDPIC and inform affected persons where required.

14) Registration / account and newsletter delivery

Registration on MEDupp as a user and the sending of the MEDupp newsletter take place only with consent (double opt-in / opt-out); consent may be withdrawn at any time via the unsubscribe link or contact details. Consent is logged (timestamp / IP, minimally required).

For accounts, we process the data visible in the input form. We store IP address / timestamp upon registration for abuse prevention purposes.

15) Server logs

Each access generates technical logs (e.g. IP address, date / time, requested resource, referrer, user-agent). These are used for operational security and error analysis; retention is short, after which the data is anonymised.

16) Contact forms / support

Your information is used to process the request; for training / quality assurance purposes, the communication may be documented internally.

17) Changes

This policy may be amended. The version published on the website shall apply.
